Introduction

In making use of the web site you agree to abide by any and all of the following terms and conditions governing use of the web site ("Acceptable Use Policy"). No charge is made by Zizy Office for your use of the web site, though you should be aware that local telephone call charges at rates as publicised by your telephone operator may apply. We hold no responsibility for charges incurred when calling our telephone number. Mobile telephone charges can vary, and so it is your responsibility to check how much your call charges will cost.

Terms of Business

Orders

The seller's catalogue and website is an offer to treat only. Any contract shall consist of the buyer's order and the seller's acceptance thereof. Any order accepted by the seller shall be subject to the seller's conditions of sale and no other conditions shall apply unless expressly agreed in writing by the seller.

Prices

Quoted prices exclude delivery (unless stated on the website). Delivery prices can be seen on our Delivery page. The prices invoiced will be those currently charged by the seller at the date of despatch. Although every effort is made to ensure the prices stated in the website are correct, should an error on price occur, and an order is placed, you will be informed and given the option of continuing the order at the correct price or cancelling the order. All packing is non-returnable.

Point of Delivery

In accordance with normal transport practices all goods will be delivered to the goods inwards department or reception on the ground floor and off-loading facilities must be provided by the customer. If further transfer or installation is required, particularly for large and heavy items, this must be requested at the time of ordering and an additional charge will be levied. Please note that a signed consignment note constitutes delivery of goods. Please check that the number of boxes received, corresponds with the delivery note before signing.

Delivery Time

Times quoted are so quoted in good faith but shall be non-binding. To facilitate a prompt delivery all despatches will be made direct from either the point of manufacture or distribution. The seller shall not be liable for any losses incurred by the buyer or any other person as a result of any delay in the delivery of the goods or any part of the order for any reason whatsoever. The due performance of the contract is subject to cancellation or such variation as the seller may find necessary as the result of instructions or lack of instructions from the buyer, or as a result of industrial dispute or of any cause whatsoever beyond the seller's reasonable control. The seller reserves the right to make partial deliveries.

Payment Terms

Preferred method of payment is by credit/debit card through one of our online payment carriers. A credit account can be opened providing you have been trading for one year and are registered for VAT and can provide the necessary trade references. All Government bodies including Councils, Schools, Universities, NHS etc. qualify for instant credit facilities. Once an account has been opened terms are net cash within 30 days of date on invoice. We accept VISA, Mastercard, Delta, Switch, Solo, JCB and VISA Electron, as well as other payment services such as: Cheque, Bank Transfer, PayPal and Google Checkout.

Retention of Ownership

Property of the goods remains with the seller until full payment has been received by the seller. Until full payment is received Office Furniture Online may at any time recover the goods and may enter the buyer's premises for this purpose. Nevertheless the risk in the goods passes to the buyer on delivery and the buyer shall promptly effect and maintain in the joint names of the parties, insurance of the goods against loss or damage in their full invoice price until final payment.

Guarantee

Except as herein expressly provided and as provided by law, the seller does not supply goods with the benefit of any term, warranty or condition, express or implied, as to the merchantability of the goods or their suitability for any purpose whatsoever. As far as it is able the seller will assign to the buyer all rights conferred on it by any of its suppliers. Insofar as quality of materials used in goods manufactured for the seller is concerned, the seller shall have the option to repair, replace (or at its sole discretion refund to the buyer the price of the goods without any further liability) parts agreed by it as being defective, and which have been returned to it, carriage paid, within a minimum period of 1 year from the date of delivery to the buyer's works. Goods subjected to fair wear and tear, misuse, defective maintenance, alteration or modification, are excluded from this guarantee. Goods covered are subject to single shift working only. In no case shall the liability of the seller hereunder exceed that of the actual manufacturer of the particular goods or parts thereof. Any liability on the part of the seller is subject to terms of payment being met.

Technical Description and Date

Such descriptions whilst given as a guide, in good faith, are subject to alteration by the seller without notice. In particular all weights and dimensions are approximate only. All maximum load capacities stated are for evenly distributed loads only.

Consequential Loss

Except in respect of death or personal injury caused by the seller's negligence, or as herein provided, the seller shall not be liable to the buyer for any consequential loss or damage (whether for loss or profit or otherwise) costs or expenses or their claims for consequential loss whatsoever which arise out of or in connection with the supply of the goods or their use or re-sale.

Claims

Notification of non-delivery must be made in writing within 7 days of invoice date and for shortages or damage within 3 days of receipt of goods. Failing this no claims will therefore be entertained.

Returned Goods

Goods will be accepted back for credit only with the express permission of Zizy Office. Please contact us for instructions on point of delivery. Made-to-order items cannot be accepted back in to stock. If you decide to cancel your made-to-order product for any reason, it is unlikely that we could sell it to another customer at full selling price. Zizy Office will therefore charge a cancellation fee of 20% of the order price - this applies to all made to order products when the order is cancelled after 24 hours of placing the order. Made to order products cannot be returned after delivery. Our usual refund policy does not apply to made-to-order products, which cannot be returned or exchanged unless faulty. The above conditions do not affect your statutory rights when goods are faulty, or not as described. Goods must be returned in their original packaging, unused, unassembled and in a resaleable condition. Credit shall not be given for goods received damaged. The buyer shall unless otherwise stated be responsible for the cost of the return carriage of all goods returned which shall be at the risk of the buyer until actual receipt of the goods to Zizy Office. Proof of return delivery will remain with the buyer. We reserve the right to charge for incomplete returns, orders placed in error or not wanted.

Order Cancellation / Rejected Delivery

  • If you purport to cancel this contract or refuse to accept delivery of goods hereunder, you will be liable to us for the full contract price.
  • We shall be entitled to charge interest at the rate of 1.5% per month on:
    1. All overdue payments
    2. The price of any goods of which you shall have failed to take delivery until the date they were actually delivered to you or otherwise disposed of
  • We shall be entitled to suspend or cancel further deliveries under this and any other contract between you and us:
    1. If payment is overdue or
    2. If you shall have failed to take delivery of any goods or
    3. (after notice) If and to the extent of the goods delivered would exceed, your credit limit whether or not advised to you and whether or not payment is overdue.
  • For the purpose of this condition time of our receipt of payment shall be of the essence of this contract.
  • You shall not be entitled to withhold or set off payment for goods delivered for any reason whatsoever.

Acceptable Use Policy

You agree to abide by all applicable laws, regulations and codes of conduct and ensure that any content uploaded or distributed or stored by you does not infringe the rights of others.

All material on the web site and any material sent to you by e-mail or any other form ("the content") belongs to us or our licensors. You may retrieve and display content from the web site on a computer screen, print individual pages on paper, photocopy and store such pages in electronic form on disk (but not on any server or other storage device connected to the network) for your personal, non-commercial use.

We, Zizy Office, own the copyright and all other intellectual property rights associated with the content, save where otherwise stated.

Except as specifically stated in these terms, you may not do any of the following without prior written permission from us:

  • Reproduce, modify or in any way domestically or commercially exploit any of the content;
  • Redistribute any of the content (including by using it as part of any library, archive or similar service);
  • Remove the copyright or trademark notice(s) from any copies of content made in accordance with these terms;

Registration

Where the web site requires that you register in order to use it, you are obliged to provide accurate and complete registration information. It is your responsibility to update and maintain any changes to that information (including your e-mail address) by altering your details as appropriate.

E-mail Policy

We will not respond unless required to do so by law to any electronic mail ("e-mail") which contains threatening, abusive, malicious, pornographic, obscene, defamatory or otherwise illegal or inappropriate material. We reserve the right to take such action as we in our sole discretion deem fit in respect of such material.

Unless you indicate to the contrary all e-mails received will be taken to be submitted, where appropriate, for publication, free of charge. If we decide to publish an e-mail from you on the web site we will incur no liability to you by doing so.

Where appropriate we will endeavour to respond to e-mails with 2 days of receipt, but we cannot and do not guarantee to respond to e-mails. E-mails will generally be stored for 12 months after which time they will automatically be deleted. An e-mail sent to the incorrect destination is liable to be deleted immediately and if you are unsure of the correct destination for your e-mail please contact sales@zizyoffice.co.uk.

Liabilities

You agree that we have no control over third party content and information which can be accessed using the web site and that we do not examine or edit the use to which you or others put the web site or the nature of the content or information being accessed and that we are excluded from all liability of any kind arising from such content or information.

You furthermore agree to indemnify us in the manner set out below in these terms in relation to your use in any way of the web site.

Software and Security

We are not responsible for any technical or other issues that may arise if you download software from external third party web site (e.g. Acrobat Reader) or upgrade your browser software to enhance your usage of the web site.

We reserve the right to make changes to any part of the web site. Due to our policy of updating and improving the web site, it may therefore be necessary to change these terms.

For our exclusive benefit, we shall retain the right to bring proceedings as to the substance of the matter in the courts of your country of residence or, where these terms are entered into in the course of your trade or profession, the country of your principal place of business.

Choice of Law and Jurisdiction

Your dealings with any third parties, in particular advertisers and/or merchants, through the services provided by the web site and any terms, conditions, warranties or representations with such third parties are solely between you and such third party. You agree that we are not liable for such dealings, and you agree to indemnify us in the manner referred to above in these terms in relation to such dealings.

General

You may not assign, sub-license or otherwise transfer any of your rights under these terms. If any part of these terms and conditions is found to be invalid by any court having competent jurisdiction the validity of the remaining terms will be unaffected. If either party does not exercise any right or remedy under these terms, this will not be taken to mean that they have been waived.
